1. Definitions
For the purposes of these Terms and Conditions (“T&Cs”):
“Applicable Law” means all statutes, enactments, rules, regulations, ordinances, notifications, guidelines, directions, directives, judgments, decrees, or orders of any governmental or judicial authority in India having the force of law, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 (upon coming into force).
“Brand” means the third-party merchant issuing and honouring the Gift Voucher.
“End Customer/You/Your” means a customer of Onpoint who accesses the Platform and purchases or redeems Gift Vouchers.
“Gift Voucher” or “GV” means the prepaid, brand-specific voucher offered to End Customers on the Platform, which is redeemable in accordance with the issuing Brand’s terms and conditions.
“Platform” means the website operated and managed by Onpoints Rewards Private Limited and accessible by End Customers via the Onpoint app, website, browser extension or redirection link.
2. Acceptance & Scope
2.1. These Terms & Conditions (“T&Cs”) govern the End Customer’s access to, purchase, and use of the Gift Voucher made available through the Platform.
2.2. By accessing the Platform, browsing, selecting, purchasing, or using any Gift Vouchers, the End Customer acknowledges and agrees to be bound by these T&Cs, the applicable Privacy Policy, and the specific terms and conditions prescribed by the issuing Brand.
2.3. Completion of any Gift Voucher purchase shall be subject to the End Customer’s explicit confirmation of acceptance of these T&Cs by actively ticking the acceptance checkbox displayed on the Platform.
2.4. If the End Customer does not agree to these T&Cs, the Privacy Policy, or the Brand’s applicable terms, the End Customer shall not access, use, or make any purchases through the Platform. Any continued use of the Platform shall be deemed to constitute acceptance of these T&Cs.
3. Eligibility and Account
3.1. You must be at least 18 years old and legally competent to enter into a binding contract under Applicable Law.
3.2. You agree to provide true, accurate, and complete information for registration and promptly update it as required.
3.3. You are responsible for maintaining the confidentiality of your credentials. Onpoints Rewards Private Limited and Pine Labs Limited are not liable for any loss due to misuse of your credentials.
4. Role of Onpoints Rewards Private Limited
4.1. Onpoints Rewards Private Limited role is limited to facilitating access for End Customers to the Platform operated and managed by Pine Labs Limited.
4.2. Onpoints Rewards Private Limited does not operate, control, or maintain the Platform, nor guarantee any Brand’s products or services.
4.3. Onpoints Rewards Private Limited acts neither as an agent nor as a representative of Pine Labs Limited or any Brand in relation to the Platform or Gift Vouchers.
5. Offer Redemption Process
5.1. End Customers may browse and select Gift Vouchers available on the Platform.
5.2. Payment for Gift Vouchers shall be made through the integrated payment gateway provided on the Platform.
5.3. Upon successful payment, the selected Gift Voucher will be delivered electronically/digitally via SMS and/or email to the contact details provided at the time of purchase and shall also be accessible under “My Orders” on the Platform. While delivery is typically instant, delays may occur due to factors beyond control, including network, banking, or partner-related issues.
5.4. The risk of loss, theft, or misuse of the Gift Voucher passes to the End Customer upon delivery. Gift Vouchers should be treated like cash, and neither Onpoints Rewards Private Limited nor Pine Labs Limited shall be responsible for any loss, damage, or unauthorized use of a Voucher once delivered.
5.5. In case of a Void Transaction (i.e., a transaction that is cancelled, rejected, or unsuccessful by the Brand, merchant, payment gateway, bank, or due to any technical issue), the End Customer shall not be entitled to the delivery of the Gift Voucher. Any refund, if applicable, shall be processed in accordance with Applicable Law and the policies of the relevant payment gateway or bank. Onpoints Rewards Private Limited shall have no responsibility in this regard.
5.6. The use and redemption of Gift Vouchers shall be governed exclusively by the terms and conditions prescribed by the issuing Brand.
6. Payments & Pricing
6.1. Payments for the purchase of Gift Vouchers may be made through the payment modes permitted on the Platform, including without limitation UPI, credit cards, and debit cards.
6.2. Prices and availability of Gift Vouchers are dynamic and subject to change at any time without prior notice. All applicable taxes, charges, or fees shall be disclosed at the time of checkout, unless expressly stated otherwise.
6.3. All orders are subject to successful payment authorization, verification, and anti-fraud checks. The Platform (operated Onpoints Rewards Private LimitedL) reserves the right to cancel or refund any order, in whole or in part, at its sole discretion in the event of suspected fraudulent activity, operational/system errors, or to comply with Applicable Law or regulatory requirements.
6.4. No Responsibility of Onpoints Rewards Private Limited: All payments for Gift Vouchers are collected and processed exclusively by Onpoints Rewards Private Limited through the payment gateway integrated into the Platform. Onpoints Rewards Private Limited does not collect, process, authorize, or control such payments and shall not be responsible for any payment-related issues, including but not limited to failed transactions, refunds, chargebacks, or disputes with payment service providers.
7. Voucher Use and Brand Terms
7.1. Each Gift Voucher is issued and governed by the specific terms and conditions of the relevant Brand, including but not limited to redemption channel, category exclusions, partial redemption, procedures for balance check/enquiries, and other restrictions. In the event of any inconsistency, the Brand’s terms and conditions prevail for redemption-related matters.
7.2. Unless expressly permitted by the issuing Brand, Gift Vouchers may not be used to: (i) purchase other gift cards; (ii) load funds into digital wallets; or (iii) withdraw cash or equivalent value.
7.3. The validity period of each Gift Voucher shall be as specified on the product page and/or voucher communication at the time of purchase. Extensions, revalidation, or reinstatement of expired Vouchers shall not be permitted, unless explicitly provided by the Brand.
8. Cancellations, Returns and Refunds
8.1. All orders for digital Gift Vouchers are FINAL, non-cancelable, non-returnable, and non-exchangeable once the Gift Voucher has been delivered to the End Customer.
8.2. In the event of non-delivery, receipt of a defective Voucher, an invalid Voucher, or a Voucher that is expired upon delivery, the End Customer must raise a complaint with Pine Labs Limited customer support within forty-eight (48) hours of purchase and provide the necessary supporting evidence. Upon verification with the issuing Brand, Pine Labs Limited may, at its sole discretion, arrange for replacement of the Voucher or process a refund.
8.3. If payment is debited from the End Customer’s account but the transaction fails and no Voucher is delivered, the relevant bank or payment gateway will typically reverse the debited amount to the original payment source within 5 (five) to 7 (seven) business days, subject to Applicable Law and the policies of the bank or payment gateway. Onpoints Rewards Private Limited shall have no responsibility in this regard.
9. Customer Complaints and Support
9.1. If the End Customer has any queries, complaints, or concerns relating to the Platform, the Gift Vouchers, or any Brand products or services purchased through the Platform, the End Customer must contact Pine Labs Limited's customer care service directly.
9.2. Pine Labs Limited shall ensure that its customer support contact details (including helpline number, email ID, and service hours) are clearly and prominently displayed on the Platform.
9.3. Pine Labs Limited shall address and resolve all End Customer complaints within reasonable timelines consistent with industry best practices.
10. Data Privacy and Consent
10.1. By accessing and using the Platform, the End Customer expressly agrees and consents to the collection, use, storage, and processing of personal data by Onpoints Rewards Private Limited, Pine Labs Limited, and the relevant Brands for the following purposes:
(i) to process and fulfil your transactions under these Terms and Conditions; and
(ii) to contact or send the End Customer marketing, promotional communications, and information about other products and services.
10.2. End Customer may opt out of receiving promotional or marketing communications at any time by using the unsubscribe or opt-out options provided in such communications. Opting out will not affect the processing of End Customer’s data for completing transactions or as required under Applicable Law.
11. Prohibited Conduct
By using the Platform, you agree not to engage in any of the following activities:
(a) use the Platform for unlawful, unauthorized, or fraudulent purposes;
(b) attempt to gain unauthorized access to the Platform, its systems, or networks;
(c) use automated tools, bots, or scripts to place or manipulate orders;
(d) resell Gift Vouchers at scale or in violation of Brand or Platform policies;
(e) upload, post, or transmit any harmful, offensive, defamatory, or unlawful content;
(f) undertake any activity that, in the opinion of Onpoints Rewards Private Limited or Pine Labs Limited, may compromise the security, functionality, or integrity of the Platform.
12. Intellectual Property
All Platform content (design, text, logos, etc.) is owned by Onpoints Rewards Private Limited and/or its licensors/service partners. You may not copy, modify, or distribute without prior written consent.
By using the Platform, the End Customer consents to Onpoints Rewards Private Limited contacting them for promotions from Onpoints Rewards Private Limited, Pine Labs Limited or Brands only as necessary for fulfilment or where separately consented.
13. Liability & Indemnity
13.1. The Platform and the related services are provided on an “as-is” and “as-available” basis without warranties of any kind, express or implied.
13.2. Onpoints Rewards Private Limited is not responsible for:
i. the quality, delivery, non-delivery, or deficiency of any Brand’s products or services;
ii. technical failures, void transactions, delays in Voucher delivery, or other issues beyond its reasonable control.
14.3. All disputes regarding Gift Vouchers or Brand products/services must be addressed directly with Pine Labs Limited or the respective Brand.
14.4. In no event shall Onpoints Rewards Private Limited be liable for indirect, incidental, special, punitive, or consequential damages arising out of or in connection with the Offer, Gift Voucher, the Platform, or Brand products/services. Onpoints Rewards Private Limited's aggregate liability for direct damages, if proven, shall not exceed the value of the Voucher(s) purchased in the relevant transaction.
13.5. You agree to indemnify and hold harmless Onpoints Rewards Private Limited, its affiliates, and service partners from claims, losses, or liabilities arising out of your breach of these Terms and Conditions, misuse of the Platform or Vouchers, or violation of Applicable Laws.
14. Privacy
14.1. Your use of the Platform is subject to the Privacy Policy, which forms an integral part of these Terms and Conditions. The Privacy Policy explains in detail how your personal data is collected, used, stored, processed and shared in accordance with Applicable Laws.
14.2. By using the Platform, you acknowledge and agree to the practices described in the Privacy Policy, including the purposes for which your data may be processed.
15. Service Changes & Suspension
15.1. Onpoints Rewards Private Limited reserves the right to modify, suspend, discontinue, or withdraw any feature, product, price, or offer at any time without prior notice, including for maintenance, upgrades, regulatory, or security reasons.
15.2. Onpoints Rewards Private Limited shall not be liable for any losses or claims arising from such modification, suspension, or withdrawal.
16. Governing Law & Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of India. The courts at New Delhi , India shall have exclusive jurisdiction over any disputes arising in relation hereto, without prejudice to any mandatory arbitration or mediation process that Onpoints Rewards Private Limited may adopt in future.
17. Force Majeure
Neither Onpoints Rewards Private Limited nor Pine Labs Limited shall be liable for failure or delay in performance of their respective obligations caused by events beyond reasonable control, including natural disasters, governmental actions, strikes, network outages, or technical failures.
18. Miscellaneous
19.1. Severability: If any clause is invalid, others remain in effect.
19.2.No Waiver: Failure to enforce any term shall not constitute waiver.
19.3. Entire Agreement: These Terms constitute the entire agreement between you and Onpoints Rewards Private Limited.
19.4 Updates: Onpoints Rewards Private Limited may update these Terms periodically; continued use implies acceptance.
